Mr* McDowell - 3 8-23-37 Referring to Page 12# Paragraph 6, I think the Pro Forma Balance Sheet as of October 10, 1937, should be prepared by the Montgomery auditors in conjunction with your own auditor in substitution for the Schedule J, prepared by you* Page 14, sub-sect ion (a)s This amount of $6303*00 should be elimin¬ ated, because, as a matter of fact, my personal indebtedness to the Company at that time will aggregate something over $15,000*00* I think no ref¬ erence need be made to the amount* The statement of the amount is of no consequence, so long as all my debts to the Company are to be paid* Sub-section (o). Pages 18, 19 and 20t I would prefer that the provisions relating to the surety bond, or the deposit of securities, be omitted and that the contract provide only that $50,000 shall be held back for the two years mentioned therein and the note of the Publishing Company for that amount, with interest at the rate of 4^ per annum, payable October 10, 1939, be delivered to me* Page 22, Section 8s I think that this may be omitted, in view of the fact that neither of us want to sign the contract until after your people have made a complete inspection, verification and audit of our books and records and you are satisfied with the report* This is unimportant, however, and may be left in if you desire* Page 24, last paragraphs I think the word "bond" should be changed to "debentures"; but, after all, that is unimportant* I shall be obliged if you will send to Mr. P* G. Prevatt, care of Shutts & Bowen, and Mr* F* Scott Kitson, of the Miami Herald, at Miami, (marked "personal" in each case) a copy of the contract which you have sent to me* I am forwarding them copies of this letter for their infornmtion* With all good wishes, I am Yours sincerely, Frank B* Shutts
